  1. User obligations

    You will be able to access some areas of www.directspce.co.uk ("the Site") without registering and other areas will only be open to you if you are a registered user. Accessing any part of the Site constitutes your acknowledgement and acceptance of the Terms and Conditions set out below. If you do not accept these Terms and Conditions in full then you are prohibited from using the Site and you should leave immediately. DirectSpace Ltd reserves the right to alter the Terms and Conditions by posting them directly onto the Site therefore it is your responsibility to check the Terms and Condition on each visit to the Site. The Terms and Conditions set out below may be superseded by express designated legal notices or terms located on a particular page of the Site.

  2. Copyright and Other Intellectual Property

    All vested and future intellectual property rights including but not limited to patents, copyrights, registered and unregistered trademarks, service marks, domain names, database rights, registered designs, design rights, know-how, trade and business name, all material and content shall remain with DirectSpace Ltd unless otherwise agreed in writing.   5. Links to DirectSpace

    You are not authorised to link to the Site if your website contains content that is distasteful, offensive or controversial, infringes any Intellectual Property rights or other rights of any other person or otherwise does not comply with all applicable laws and regulations. Links to the Site must direct the user to the Site to view content or material. Pages within the Site must not be viewed within the pages of another site unless otherwise agreed in writing. DirectSpace disclaims all liability for any legal or other consequences (including infringement of third party rights) of links made to the Site. Links do not imply that DirectSpace endorses, is affiliated or associated with any linked sites or is legally authorised to use copyright or other intellectual property in 2 above.

  7. Material submitted by you

    By submitting any material to the Site you automatically grant DirectSpace Limited the royalty-free, perpetual, irrevocable, exclusive right and license to use, reproduce, modify, edit, adapt, publish, translate, create derivative works from, distribute, perform and display such material (in whole or part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed for the full term of any rights that may exist in such content.

    You acknowledge that the Site is not obliged to publish any material submitted to you.

  8. Sellers of UK Residential Property

    By agreeing to list your property on the site, you confirm and accept that you are the legal owner of the property on the site and give permission for DirectSpace Ltd permission to display your property details on the Site. If you are estate agent with authority to display your client’s property on the site then you will be charged a fee of £1,000 per property and will not be subject to the same pricing policy as private sellers advertising directly on the Site.

    It is your responsibility to ensure that all information submitted to the Site are factually accurate. Should any of the information provided later be found to be misleading or incorrect, you agree to accept full responsibility and as such indemnify DirectSpace Ltd against any claims arising relating to this information.

    In submitting property details and/or photographs for publication , you confirm that you hold legal ownership of such and you grant a copyright license to DirectSpace Ltd.

    If you are using an estate agent as well as the Site, you agree that it is your responsibility to review your contract to ensure that you can sell through the Site without incurring any commission charges from the estate agent. If it is later found that you are legally bound to pay any commission to the estate agent, DirectSpace Ltd will not be liable.

    As DirectSpace Ltd are not an estate agent you are responsible for handling enquiries, making viewing appointments, showing your property to interested parties, all negotiations with potential buyers and instructing a solicitor to act on your behalf in all legal matters relating to your property sale.

    The site reserves the right to remove or edit any descriptions and photographs and take a property off the Site.

  9. Indemnity

    You agree to indemnify and keep DirectSpace Ltd from and against all claims, damages, expenses, costs and liabilities arising in any manner from your entry and use of the site other than in accordance with these Terms and Conditions.

  10. Law and Jurisdiction

    These Terms and Conditions shall be governed by and construed in accordance with the laws of England. Disputes arising herefrom shall be exclusively subject to the jurisdiction of the courts of England. Any cause of action you may have with respect to your use of this site must be commenced within 12 months after the claim or cause of action arises.

    If any of these Terms and Conditions should be determined to be illegal, invalid or otherwise unenforceable by reason of law of any state or country in which these Terms and Conditions are intended to be effective, then to the extent and within the jurisdiction in which that Term and Condition is illegal, invalid or unenforceable, it shall be severed and deleted from the clause and the remaining terms and conditions shall survive and continue to be binding and enforceable.

    DirectSpace Ltd makes no representation that materials on this site are appropriate or available for use at other locations outside of the United Kingdom and access to them from territories where their contents are illegal are prohibited. If you access this site from a location outside of the United Kingdom, you are responsible for compliance with all local laws.
